The question that shaped the IPStrategy model was not "how do we tokenise IP?" The dual-token architecture is the answer to that question. One layer is live. The second is in development.
The Investment Layer
The Investment Layer provides structured economic participation in specific IP projects through tokenised fund interests — digital certificates representing a defined interest in identifiable entertainment revenue streams, which may include content licensing fees, event revenue participation, and merchandise profit share tied to specific IP activations.
This layer is operational. Investment tokens have been issued and deployed.
The layer is managed by Esperanza Fintech (Securities) Limited — a Hong Kong-incorporated entity holding SFC Regulated Activity Type 9 — Asset Management authorisation (Licence No. BAO325), with special permission to conduct fund tokenisation and token trading services granted by the Securities and Futures Commission. Token custody is maintained by Esperanza Fintech (Nominees) Limited under Trust or Company Service Provider Licence No. TC010260, issued by the Hong Kong Companies Registry.
The governing regulatory framework is the Securities and Futures Ordinance (Cap. 571). Participation is structured for professional investors and subject to applicable accreditation requirements.
What this delivers to rights holders: institutional capital deployed into their IP ecosystem, with full on-chain transparency into how that capital performs against defined revenue streams.
The Utility Layer
Designed for: Fan communities and IP audiences
The Utility Layer is being developed to give fan communities transferrable, redeemable participation rights within a specific IP ecosystem. These are not speculative instruments — they are being structured as pre-sale goods under the Trade Descriptions Ordinance (Cap. 362): tokenised access to experiences, VIP events, exclusive merchandise, early content access, and governance rights within the IP community.
The Utility Layer is designed to be funded by capital from the Investment Layer. Fan experiences are not a cost centre absorbing IP owner resources — they are a structured output of the investment framework, designed to drive the engagement and revenue that investment participants benefit from.
This layer will be managed directly by IPStrategy, providing the operational infrastructure for token distribution, community engagement, redemption mechanics, and the fan-facing platform through which participation is accessed.
What this delivers to rights holders: a direct, owned relationship with their most economically active audiences — on-chain, attributable, and compounding in value with every activation.
How the Layers Interact
The architecture is intentionally sequential. Investment capital funds the production of IP activations — content, events, experiences. Those activations generate the Utility Token pool distributed to fan communities. Fan participation drives attendance, merchandise revenue, and content consumption. That commercial activity generates the returns that flow back to Investment Layer participants.
Neither layer exists in isolation.
The Investment Layer without the fan economy has no commercial engine.
The Utility Layer without investment capital has no funding mechanism.
The dual-token model works because both layers are structurally dependent on each other — and both are anchored to IP with a proven, existing audience.
Regulatory Framework
The entertainment and Web3 industries have both suffered from models that moved fast and ignored compliance until it became a liability. IPStrategy's architecture is designed from the regulatory framework outward — not retrofitted for compliance after the commercial model was set.
The Investment Layer operates under SFC authorisation within Cap. 571. The Utility Layer is being structured within Cap. 362. Token custody is held by a licensed nominee entity. Every structural decision in the dual-token model was made with regulatory integrity as a precondition, not an afterthought.
